Terms of Service and Privacy Policy - emPL

1. Definitions

EmPL: A platform (software service) that supports payroll sending, commercially operated at https://epl.com.vn.

VSII: VietSoftware International is the owner and has full rights to exploit the EmPL platform.

Customer: Organizations or individuals who need to use the EmPL platform or use one of the applications developed by VSII on the EmPL platform.

Customer's EmPL System (system): A system that EmPL grants access to the Customer. This is an effective workspace for Customers and individuals authorized by the Customer to use.

User account: A user account on the Customer's EmPL system provided by VSII to the Customer.

2. Customer's EmPL System

During the EmPL registration process, Customers will create an account and password.

• Customers are responsible for securing their passwords and accounts as well as taking full responsibility for activities related to their accounts.
• For each system, depending on the subscription package level, Customers can create accounts for their employees to participate in using the system. The number of user accounts depends on the subscription fee level.
• Customers notify VSII immediately when anyone uses their account or password without permission or any security errors, and ensure that the Customer logs out of the account after each session. VSII cannot and will not be responsible for any loss, damage or other liability if the Customer does not comply with this or due to unauthorized access to the Customer's account.

3. Privacy Protection

VSII keeps confidential all Customer information and the content of Customer user accounts. We will implement and maintain all necessary and within our capacity internal protection measures; administrative, physical and technical to protect the confidentiality and integrity of Customer data.

VSII commits to:

• Not actively changing data created by Customers. This does not include the software system's ability to automatically modify data size and format to suit display purposes and usage functions.
• Not accessing Customer data except in cases of technical troubleshooting or at the request of the Customer or cases where legal requirements must be complied with.
• Not disclosing Customer data except in one of the following cases:
  • With Customer consent;
  • Must comply with legal regulations;
  • Cases stipulated in these Terms of Use;

4. Customer Data and Responsibilities of the Parties

Customer data is any information that the Customer uploads to the Customer's EmPL System.

Customers have the right to use and control data posted on the Customer's EmPL system. Customers are responsible for all data that Customers or Customer user accounts upload and/or send from the EmPL platform.

Customers understand that EmPL does not own any data that Customers upload to EmPL;

• Damaging, disturbing others or causing injury to people and property.
• Related to the publication of information or materials that are fraudulent, defamatory, harassing or pornographic.
• Violating privacy rights or discriminating based on race, religion, gender, or disability.
• Infringing intellectual property rights or other ownership rights.

EmPL has full authority to disable access to Customer data content if we determine that the accessed data violates these Terms, or we receive a complaint from a user account, or a notice of intellectual property infringement and/or notice of content showing signs of violating the law from competent authorities.

Customers are responsible before the law if using the software contrary to legal regulations.

5. Suspension and Termination of EmPL Use

Term of agreement: This agreement begins from the date the Customer agrees and ends when all accounts granted under this agreement expire. In case the Customer is on a trial basis, if the Customer does not switch to subscription form before the trial period expires, this agreement will be terminated at the end of the trial period.

Suspension: VSII has the right to suspend the Customer's use in the following cases:

• The Customer does not fulfill the obligation to pay usage fees after VSII has sent a payment request notice for 30 days.
• VSII believes that the EmPL system is being used by Customers to participate in attacks, send spam, illegal activities or the Customer's use of the EmPL platform causes harm to VSII and other parties

The agreement is considered terminated in similar cases as above.

VSII has no obligation to refund any costs that the Customer has paid in case of termination of the agreement for the reasons stated above. VSII only guarantees to maintain Customer data on the EmPL platform for a maximum of 90 days from the date of termination of the agreement.

6. Warranty Terms and Limitation of Our Liability

Disclaimer: VSII does not promise, represent, or guarantee that the Customer's use of the EmPL platform will not be interrupted or error-free, or that the EmPL platform will meet Customer requirements or all errors in the software and/or documentation will be corrected or the overall system ensures the operation of the EmPL platform (including but not limited to: the internet, other transmission networks, internal networks and Customer devices).

VSII does not guarantee in any form, whether express or implied, conditions such as quality satisfaction, suitability for specific use needs or non-infringement of third party rights.

The EmPL platform is provided on an 'as is' and 'as available' basis for Customer use. Customers will take full responsibility in determining whether the EmPL platform or information generated from the EmPL platform is correct and fully meets their intended use.

7. Dispute Resolution

All disputes or disagreements arising between the two parties will be resolved in a spirit of cooperation to resolve together.

In case the two parties cannot reach a result through negotiation, it will be resolved according to the proceedings at the competent Court. The Court's judgment is final and binding, requiring the parties to comply.
